These Terms of Service ("Terms") are a legal agreement between you and the operator of Reachly ("we," "us," or "Reachly"). They govern your access to Reachly, a web application that helps students prepare personalized academic inquiry drafts for professors, review them in a draft queue, and send when ready via their Gmail account. Reachly is a student-controlled drafting tool — not an automated messaging or campaign system. By creating an account, paying for credits or a subscription, or using the Service, you agree to these Terms. If you do not agree, do not use Reachly.
1. Eligibility
You must be at least 13 years old (or the minimum age required where you live) and able to enter a binding contract. If you are under 18, you represent that a parent or guardian has reviewed and agreed to these Terms on your behalf.
2. Access and personal use
Reachly is provided to you for personal, non-commercial use under these Terms. We retain all rights in the Service, including software, branding, and professor data. You do not receive ownership of the product—only permission to use it under your current plan and available credits.
- One account is for one person. You may not share login credentials or resell access.
- You may not copy, reverse engineer, scrape, or resell the Service or its data.
- We may update features, limits, or integrations at any time.
3. Fees, credits, and subscriptions
Reachly offers a free plan, so a paid subscription is not required to use the Service. The free plan currently includes 100 credits per month, and each draft costs 10 credits. Free credits reset monthly and unused credits do not roll over.
Paid subscriptions provide additional monthly credits. The plan, price, billing interval, and any commitment are shown before checkout. Discounted annual-rate plans are billed monthly and carry the commitment shown at checkout.
Subscriptions renew according to the checkout terms until canceled. You can manage payment details, plan changes, and cancellation from the billing portal when available.
Prices are in U.S. dollars unless stated otherwise. You are responsible for any taxes required by law. Except where required by law, paid charges are non-refundable once billed.
Future price changes. We may change fees for new purchases or renewals. Changes apply after we post or notify you of the new pricing and do not retroactively change charges already billed.
4. What Reachly does
Reachly helps you prepare personalized academic inquiry drafts and stores them in your draft queue for review. When you explicitly confirm Send after reviewing a single message, we send that message through your Gmail account using the Gmail API. We do not read your inbox. We do not send email without your explicit action in Reachly. Reachly never automatically sends email. Professor listings, AI output, and third-party integrations may change over time.
Not permitted. Reachly is not for commercial email, marketing, sales, fundraising, spam, or automated messaging. Do not use the Service for unsolicited commercial mail.
5. Your account and content
- You are responsible for your account and all activity under it.
- You provide profile information, resumes, and templates. You represent that you have the right to upload and use that content.
- You must review every draft before sending. AI-generated text can be wrong, offensive, or misleading. You are solely responsible for emails you send.
- Do not use Reachly for commercial email, marketing, sales, fundraising, spam, harassment, illegal activity, automated messaging, or contacting anyone who has asked you to stop.
6. Third-party services
Reachly uses services such as Clerk (sign-in), Google (Gmail), cloud hosting, databases, and AI providers. Your use of those services is also subject to their terms and privacy policies.
7. Privacy
Our Privacy Policy explains how we collect and use personal information. By using Reachly, you also agree to the Privacy Policy.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE ADMISSION, INTERVIEWS, RESEARCH POSITIONS, OR REPLIES FROM PROFESSORS. WE ARE NOT A LAW FIRM AND DO NOT PROVIDE LEGAL ADVICE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REACHLY AND ITS OPERATOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR USD $25 IF NO PAYMENT APPLIES.
10. Indemnification
You agree to defend and hold harmless Reachly from claims arising from your use of the Service, your content, your emails, or your violation of these Terms or applicable law.
11. Suspension and termination
We may suspend or end your access if you break these Terms, fail to pay for a paid subscription, or if we discontinue the Service. When a paid subscription ends, its additional credits and other paid benefits stop; the free plan may remain available under its current limits. Sections that should survive (fees owed, disclaimers, liability limits, indemnity, governing law) will survive.
12. Changes to these Terms
We may update these Terms. We will update the "Last updated" date and may ask you to accept the new version before continuing to use Reachly. Material changes to pricing for renewals apply as described in Section 3.
13. Governing law
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules, except where your local law requires otherwise.
